RELEASE AND WAIVER OF LIABILITY

By registering for the TimelyCare Sessions (the "Sessions"), I hereby represent, warrant and covenant to Timely Telehealth, LLC. and the professional entities for which Timely Telehealth, LLC provides administrative services (collectively, "TMD") as follows:

• I am in good physical condition and I have no disability, impairment, or ailment that will prevent me from engaging in the activities such as yoga and meditation presented during the Sessions, and have taken the necessary precautions, including, without limitation, warming up, to engage in the activities presented during the Sessions.
• I PERSONALLY ASSUME SOLE LIABILITY AND RISK for any harm, injury, or damage (both economic and non-economic) that may occur to me as a result from my participation in the Sessions, including, without limitation, any exercise I may perform during the Sessions, or taking any action, or failing to take any action, in connection with my participation in the Sessions, even if I experience any pain or discomfort.
• I understand that the activities presented during the Sessions are not clinical in any manner and are not a substitute for medical attention, examination, diagnosis or treatment by a provider licensed in the jurisdiction where I am located.
• I hereby waive any claim I may have against each of TMD and the Sessions' presenters and organizers and their respective officers, directors, managers, employees, or agents that may arise from my participation or attendance at the Sessions.
• I hereby consent and agree that I may be recorded and videotaped during the Sessions and consent to TMD having exclusive and sole rights and trademark over my image and recordings made during the Sessions.
• I further understand and agree that no reproduction of any kind, including photographs, audiotapes and videotapes, may be made by me during the Sessions.
• All property rights in the material presented during the Sessions, including common law copyright, are expressly reserved to TMD.
• Any costs incurred by me to attend the Sessions are my responsibility.
• I am familiar with, and recognize, the danger and risk of injury to person and or property which may result from participation in the Sessions.
• With full knowledge and understanding of such risks, I hereby fully and forever RELEASE, RELINQUISH, ACQUIT, AND DISCHARGE TMD and the Sessions' presenters and organizers and each of their respective officers, directors, managers, employees, or agents (collectively, "Released Parties"), from any and all claims, demands, actions, causes of action and rights (whether known, unknown, contingent, accrued, inchoate, or otherwise) which I may have against TMD, or other Released Parties arising out of or relating to the Sessions.
• I expressly warrant and represent that no promise or agreement which is not herein expressed has been made to me in executing this Release and Waiver of Liability and that I am not relying upon any statement or any representation of any of the Released Parties.

I HAVE READ THIS RELEASE AND WAIVER OF LIABILITY, FULLY UNDERSTAND ITS TERMS, UNDERSTAND THAT I HAVE GIVEN UP RIGHTS BY SIGNING IT, AND HAVE SIGNED IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT, ASSURANCE, OR GUARANTEE BEING MADE TO ME AND INTEND MY SIGNATURE TO BE A COMPLETE AND UNCONDITIONAL RELEASE AND WAIVER OF LIABILITY TO THE GREATEST EXTENT ALLOWED BY LAW.

THE PROVISIONS OF THIS RELEASE AND WAIVER OF LIABILITY SHALL BE CONSTRUED IN ACCORDANCE WITH, AND GOVERNED BY, THE LAWS OF THE STATE OF TEXAS AND THAT ALL ACTIONS, SUITS, CLAIMS AND PROCEEDINGS RELATING TO THIS AGREEMENT SHALL BE BROUGHT IN A COURT OF COMPETENT JURISDICTION LOCATED IN TARRANT COUNTY, TEXAS. IN CASE ANY PROVISION OF THIS AGREEMENT SHALL BE HELD INVALID, ILLEGAL OR UNENFORCEABLE, IT SHALL NOT AFFECT ANY OTHER PROVISION OF THIS AGREEMENT AND THIS AGREEMENT SHALL BE CONSTRUED AS IF SUCH PROVISION HAD NEVER BEEN CONTAINED HEREIN.
