Privacy Notice for K12

This Privacy Notice applies to all the products, services, websites and applications (collectively, the “Services”) offered by Timely Telehealth, LLC and Telehealth Physician Network, PLLC (collectively, “TimelyCare”, “We”, “Us” or “Our”) that link to this Privacy Notice. Some information only applies to the “TimelyCare Application,” which is the application used when you sign up for TimelyCare services.

Please read this Privacy Notice carefully. If any term in this Privacy Notice is unacceptable to you, please do not use our Services or provide us with any Personal Information. In this Privacy Notice, when we talk about “Personal Information,” we mean any information that is related to an identified or identifiable natural person.

Depending on your relationship with us and which Service you use, TimelyCare may collect the categories of information as summarized in the table below and process the information as described below. Generally speaking, this Privacy Notice will not apply to your medical information. For additional information on how your medical information is treated, please see the following, as applicable:

Please note that in some instances, TimelyCare’s customers, and not TimelyCare, will determine how and why Personal Information collected by TimelyCare is used. In those instances, the applicable privacy notices, including any applicable HIPAA Notice of Privacy Practices of TimelyCare’s customers may apply.

1. Personal Information We May Collect About You.
The TimelyCare Application may collect the following categories of Personal Information:

J. Non-public education information (per the Family Educational Rights and Privacy Act (20 U.S.C. Section 1232g, 34 C.F.R. Part 99). Education classification, graduation semester, graduation year, as disclosed by your school system or education institution, to identify eligible students who can access the TimelyCare platform. Education records directly related to a student maintained by an educational institution or party acting on its behalf, such as grades, transcripts, class lists, student schedules, student identification codes, student financial information, or student disciplinary records. K. Inferences drawn from other Personal Information. Profile reflecting a person’s preferences, characteristics, psychological trends, predispositions, behavior, attitudes, intelligence, abilities, and aptitudes inferred from the information collected. [NO]

If you access our public facing TimelyCare.com website, we may also collect the following categories of information:

2. How We Collect Personal Information. The categories of Personal Information we collect about you, as detailed below, come from the following categories of sources:

  • You, including through your use of our TimelyCare Application, website, third parties, social media platforms, and the Services
  • Automatically collected from your browser or devices when you access or use our Services
  • Our subsidiaries, affiliates, partners, and their services providers or contractors
  • Voluntary completion of customer surveys or feedback through the application and via email

3. Tracking Technologies. Some of our Services may incorporate tracking technologies to provide you with certain functionalities available within our Services. These tracking technologies may collect or generate Personal Information about you when you interact with us, but only if you decide to allow them in your individual browser’s settings. Please be advised that if you choose to block, reject, disable, delete, or change the management settings for any or all of the aforementioned technologies and/or other tracking, data aggregation, and data analysis technologies, then certain areas of our websites may not function properly. 4. Privacy Policies of Other Websites. Our website may contain links to third-party websites whose privacy practices may differ from ours. We encourage you to review the privacy policies of those websites before providing any personal data.

5. Use of Personal Information. We may use, or disclose the Personal Information we collect for one or more of the following business purposes:

  • Providing and improving our Services (for example, account servicing and maintenance, customer service, advertising and marketing, analytics, and communication about our Services)
  • Fulfill or meet the reason you provided the information
  • Communicate with you about our Services, including emailing or texting you appointment reminders, surveys, and other relevant information to the Services we provide. We may also use your Personal Information to contact you about information including marketing or promotional materials that may be of interest to you
  • For our operational purposes and the operational purposes of our service providers and integration partners
  • Improving our existing Services and developing new services (for example, by conducting research to develop new products or features)
  • Detecting, protecting against, and prosecuting security incidents and fraudulent or illegal activity
  • Bug detection, error reporting, and activities to maintain the quality or safety of our Services
  • Auditing consumer interactions on our site (for example, measuring ad impressions)
  • Monitor and analyze consumer interactions with our Services (for example, measuring ad impressions on our websites and for other analytics or advertising purposes)
  • Short-term, transient use, such as customizing content that we or our service providers display on the Services
  • Other uses that advance our commercial or economic interests, such as third party advertising and communicating with you about relevant offers from third party partners
  • Any other purpose disclosed by us when you provide the information or with your consent.

Please note that if you withdraw your consent or object to processing of your Personal Information, or if you choose not to provide certain Personal Information, we may be unable to provide some or all of our Services to you.

6. Sharing of Personal Information. We may disclose your Personal Information in the following circumstances:

  • To Service Providers – We may disclose your Personal Information to third-party companies and vendors that perform services for or on behalf of us, including email service providers, analytics providers, advertising partners, and other service providers.
  • To Affiliates and Subsidiaries – We may disclose your Personal Information to our affiliates and subsidiaries for their and our business purposes and for marketing purposes, including to provide you information about the products or services we think may interest you and to facilitate our Services to you or to facilitate the Services we provide to you.
  • To Business Partners – We may disclose your Personal Information to our business partners. For example, we may disclose your Personal Information to a company whose products or services are necessary in order to provides Services to you.
  • For Legal Obligation or Safety Reasons – We may disclose Personal Information to a third party when we have a good faith belief that such disclosure of Personal Information is reasonably necessary to (a) satisfy or comply with any requirement of law, regulation, legal process, or enforceable governmental request, (b)
    enforce or investigate a potential violation of any agreement you have with us, (c) detect, prevent, or otherwise respond to fraud, security or technical concerns, (d) support auditing and compliance functions, or (e) protect the rights, property, or safety of TimelyCare, its employees and clients, or the public against harm.
  • For Merger or Change of Control – We may disclose Personal Information to third parties as necessary if we are involved in a merger, acquisition, or any other transaction involving a change of control in our business, including but not limited to, a bankruptcy or similar proceeding. Where legally required, we will give you prior notice prior to such disclosure.
  • For Fraud Prevention – When TimelyCare processes your data, we may send your data to, and use the resulting information from, credit reference agencies to prevent fraudulent purchases.
  • For Professional Services – We may disclose your Personal Information to accountants, auditors, lawyers, and other outside professional advisors for the purpose of obtaining professional services, subject to the appropriate contractual obligations of confidentiality.
  • With your consent or at your direction.

7. Storing Your Data. We use reasonable security measures to protect your Personal Information. Please understand, however, that no security system is impenetrable. We cannot guarantee the security of our databases, nor can we guarantee that the information you supply will not be intercepted while being transmitted to and from us over the Internet.

8. Children’s Privacy. We do not knowingly collect Personal Information from children under the age of 13 without verifiable parental consent. If we become aware that a child has provided us with Personal Information without such consent, we will take steps to delete such information promptly. If you are a parent or legal guardian and believe your child under the age of 13 has provided us with Personal Information without your consent, please contact us at [email protected].

9. Data Retention. TimelyCare may retain your information for (1) for as long as necesary for the purposes for which it was collected or otherwise processed or (2) as long as necessary to comply with its legal obligations, resolve disputes, and/or enforce agreements. When determining the retention period, we take into account criteria, such as the type of services requested by or provided to you, the nature and length of our relationship with you, use of our Services, and the impact on the Services if we delete your Personal Information, as well as applicable state and federal laws related to retention of such information.

10. Marketing. TimelyCare sends reminders about appointments and available services within the platform. Additionally, TimelyCare may send you marketing information about our products and Services based on your interests. You can opt out of our marketing communications at any time by replying to the email you received or following the instructions included in the email or text correspondence. Please note that, even if you unsubscribe from
certain correspondence, we may still need to contact you with important transactional or administrative information, as permitted by law.

11. Notice to California Residents. The California Consumer Privacy Act, as amended by the California Privacy Rights Act (Civil Code Section 1798.100, et seq.) (“California Law”), provides eligible California residents with specific rights with respect to our collection, retention, disclosure, selling, sharing, and use of Personal Information. This section on Notice to California Residents supplements this Privacy Policy and applies solely to eligible residents of the State of California. Any terms used but not defined in this section have the same meaning as defined in California Law.

Collection and Use of Personal Information. In the preceding twelve (12) months (as applicable and depending on when you obtained Services), we have collected categories of Personal Information as discussed in Section 1 and identified in the table below from the sources of Personal Information as discussed in Section 2 “How We Collect Personal Information” above. The business or commercial purpose for collecting that information is disclosed in Section 5 “Use of Personal Information” above.

Disclosure of Personal Information. The categories of third parties to whom we disclose Personal Information for a business or commercial purpose or to whom we sell or share Personal Information are summarized in the chart below. We do not knowingly sell or share the Personal Information of minors under the age of 16.

Your California Law Privacy Rights. California Law provides consumers with specific rights regarding their Personal Information. The following section describes your California Law rights and explains how to exercise those rights. Subject to certain exceptions, your California Law rights include the:

  • Right to Know or Access: You have the right to request that we disclose to you your Personal Information that we collected, used, disclosed, shared, and sold. Specifically, you have the right to request disclosure of the categories of Personal Information and specific pieces of Personal Information we have collected about you, and the third parties to whom we have disclosed your Personal Information.
  • Right to Delete: You have the right to request that we delete any of your Personal Information that we collected from you and retained.
  • Right to Correct Inaccurate Personal Information: You have the right to request that we correct any of your Personal Information that we maintain about you that is inaccurate.
  • Right to Opt Out of Sales or Sharing of Personal Information: We do not sell your Personal Information for monetary profit. However, we may engage in certain information disclosure activities that may be considered “sales” or “sharing” under California Law. If we sell your Personal Information to or share such information with third parties, you may have the right to opt out of the sale or sharing of such information. To exercise the right to opt out, you (or your authorized representative) may submit a request to us by visiting the Do Not Sell or Share My Personal Information link on the homepage.
    You may also exercise your opt out rights by broadcasting an Opt-Out Preference Signal, such as the Global Privacy Control (GPC). We honor Opt-Out Preference Signals, including GPC. If you choose to use an Opt-Out Preference Signal, you will need to turn it on for each supported browser or browser extension you use.
  • Right to Non-Discrimination: We will not discriminate against you for choosing to exercise any of your rights. If you exercise certain rights, understand that you may be unable to use or access certain features of the Services.

Identity Verification. We may require you to prove your identity to exercise certain rights. Depending on your request, we will ask for information such as your name, telephone number, email address, and/or date of last communication with us. We may also ask you to provide a signed declaration confirming your identity. We will only use Personal Information provided in your consumer request to verify your identity or authority to make the request.

Only you, your parent, guardian (if you are under 13 years or age), conservator, a person to whom you have given power of attorney, or an authorized agent may make a verifiable consumer request related to your Personal Information. You may, however, make a verifiable consumer request on behalf of your minor child if necessary. Your verifiable consumer request must provide sufficient information that allows us to reasonably verify that you are the person about whom we collected Personal Information or an authorized representative, which may include signed permission by the consumer to submit the request. We cannot respond to your request if we cannot verify your identity or authority to make the request. You may only make a verifiable consumer request for your right to access twice within a 12-month period.

We endeavor to respond to requests within the time period required by applicable law. If we require more time, we will inform you of the reason and extension period in writing.

We will deliver our written response by mail or electronically, at your option.

We do not charge a fee to process or respond to your requests unless they are excessive or repetitive. If we determine that a request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate before completing your request. We may deny certain requests, or only fulfill some in part, as permitted or required by law.

How to Exercise Your California Law Rights. To exercise any of the privacy rights afforded to you under California Law, please submit a request to us by one of the following methods:

Other California Privacy Rights. Under California Civil Code Section 1798.83, individual customers who reside in California and who have an existing business relationship with us may request information about our disclosure of certain categories of Personal Information to third parties for the third parties’ direct marketing purposes, if any. To make such a request, please contact us using the information in the Contact Us section below. Please be aware that not all information sharing is covered by these California privacy rights
requirements and only information on covered sharing will be included in our response. This request may be made no more than once per calendar year.

12. Your U.S. Privacy Rights and How to Exercise Them. If you are a U.S. resident, depending on where you live, you may have the following rights with respect to your Personal Information under applicable data protection laws:

  • Access – You may have the right to know what Personal Information we have collected about you and to access such data.
  • Data portability – You may have the right to receive a copy of your information in a portable and readily usable format.
  • Deletion – You may have the right to delete your Personal Information that we have obtained, subject to certain exceptions.
  • Correction – You may have the right to correct inaccuracies in your Personal Information.
  • Opt out of certain processing – You may have the right to: (a) opt out of the processing of your Personal Information for purposes of targeted advertising, (b) opt out of the sale or sharing of your Personal Information; (c) limit the use of your Sensitive Personal Information (if applicable), and (d) opt out of the processing of your Personal Information for profiling in furtherance of decisions that produce legal or similarly significant effect concerning you. (Please see Disclosure of Personal Information under Section 11 for more information on how TimelyCare sells, shares, and uses information for targeted advertising).
  • Appeal – You may have the right to appeal our decision with regard to your request to exercise any rights described herein.

If required by law, we will only collect and process sensitive Personal Information from you, when we have obtained your prior express consent. You may withdraw your consent at any time by contacting us at the information below in Section 16 “Contact Information.” Note that withdrawal of your consent will not affect the lawfulness of our uses or sharing of your Personal Information before you withdraw your consent. See Section 14 on how to exercise your rights including your right to opt-out of certain processing.

13. Individuals in the European Union, European Economic Area, and the United Kingdom. This section provides additional information regarding TimelyCare’s processing of Personal Information of people located in the European Union (“EU”), European Economic Area (“EEA”), and the United Kingdom (“UK”) in accordance with the EU Data Protection Regulation and UK Data Protection Regulation. For purposes of this section, “Personal Information” shall have the same definition as similar terms set forth in the foregoing data protection laws.

Legal Basis for Processing
Our legal basis for processing Personal Information depends on the Personal Information concerned and the context in which we process it. We process Personal Information from you where the processing is in our legitimate interests (including the purposes described in this Privacy Notice), where the processing is necessary for us to meet our applicable legal obligations, if we otherwise have your consent, or for the purposes of preventive or occupational medicine or medical diagnosis.

Automated Decision Making
TimelyCare does not make any automated decisions on your behalf or about you without first obtaining your express, opt-in consent. In the event we secure your consent to do so, you have the right to object to the processing of Personal Information via automated decision making at any time by following the instructions set forth below.

Transfers to Third Parties and Countries
Personal Information that we collect or receive may be transferred to and/or processed by third parties that are located outside of the EU, EEA or the UK, some of which applicable authorities may not consider to have an adequate level of protection for Personal Information. TimelyCare will only transfer Personal Information to third parties located outside of the EU, EEA, and the UK when it has ensured appropriate safeguards for such Personal Information through use of the standard contractual clauses or other lawful and approved methods.

You may have the following rights with respect to your Personal Information:

  • The right to withdraw consent – If we use or share your Personal Information based on your consent, you may withdraw your consent at any time. Note that withdrawal of your consent will not affect the lawfulness of our use or sharing of your Personal Information before you withdraw your consent.
  • The right to access – You have the right to request TimelyCare for copies of your personal data. We may charge you a small fee for this service.
  • The right to rectification – You have the right to request that TimelyCare correct any information you believe is inaccurate. You also have the right to request TimelyCare to complete information you believe is incomplete.
  • The right to erasure – You have the right to request that TimelyCare erase your personal data under certain conditions.
  • The right to restrict processing – You have the right to request that TimelyCare restrict the processing of your personal data, under certain conditions.
  • The right to data portability – You have the right to request that TimelyCare transfer the data we have collected to another organization, or directly to you, under certain conditions.
  • The right to object – You have the right to object at any time to processing of your personal data, under certain conditions.
  • The right to lodge a complaint – If you believe we are using, disclosing, or otherwise processing your Personal Information in a way that is not in accordance with applicable law, you can lodge a complaint with the relevant data protection authority in your country. 14. How to Exercise Your Rights.
To opt out of marketing emails, please reply to the email you received or by following the instructions included in the email or text correspondence. Please note that, even if you unsubscribe from certain correspondence, we may still need to contact you with important transactional or administrative information, as permitted by law. Additionally, if you withdraw your consent or object to processing of your Personal Information, or if you choose not to provide certain Personal Information, we may be unable to provide some or all of our Services to you.

We will only use Personal Information provided in your consumer request to verify your identity or authority to make the request.

We endeavor to respond to requests within the time period required by applicable law. If we require more time, we will inform you of the reason and extension period in writing.

We will deliver our written response by mail or electronically, at your option.

We do not charge a fee to process or respond to your requests unless they are excessive or repetitive. If we determine that a request warrants a fee, we will tell you why we made that decision and provide you with a cost estimate before completing your request. INTRODUCTION. This Privacy Notice is being provided to you by Telehealth Physician Network, a Texas PLLC; Dennington Physician, PLLC, a New York PLLC; Telehealth Physician Network, PLLC, a Michigan PLLC; Telehealth Physician Network, PLLC, a North Dakota PLLC; Telehealth Physician Network, P.C., a California professional corporation; Telehealth Physician Network, P.C., an Alaska professional corporation; and Telehealth Physician Network, P.C., a New Jersey professional corporation and the employees and health care providers who work at such professional entities (collectively referred to herein as “We” or “Our”). We understand that your medical information is private and confidential. We will share your medical information with one another, as necessary, to carry out treatment, payment or health care operations relating to the services to be rendered. PERMITTED USES AND DISCLOSURES. We will use or disclose your medical information for purposes of treatment, payment and health care operations. For each of these categories of uses and disclosures, we have provided a description and an example below. However, not every particular use or disclosure in every category will be listed.

  • Treatment means the provision, coordination or management of your health care, including consultations between health care providers relating to your care and referrals for health care from one health care provider to another. For example, a doctor treating you for a broken leg may need to know if you have diabetes because diabetes may slow the healing process. In addition, the doctor may need to contact a physical therapist to create the exercise regimen appropriate for your treatment.
  • Payment means the activities we undertake to obtain reimbursement for the health care provided to you, including billing, collections, claims management, determinations of eligibility and coverage and other utilization review activities. For example, we may
    provide your medical information to companies who assist us in obtaining payment for our services. Federal or state law may require us to obtain a written release from you prior to disclosing certain specially protected medical information for payment purposes, and we will ask you to sign a release when necessary under applicable law.
  • Health care operations means the support functions of the providers, related to treatment and payment, such as quality assurance activities, care coordination, case management, receiving and responding to patient comments and complaints, physician reviews, compliance programs, audits, business planning, development, management and administrative activities. For example, we may use your medical information to evaluate the performance of our staff when caring for you. We may also combine medical information about many patients to decide what additional services we should offer, what services are not needed, and whether certain new treatments are effective. We may also disclose medical information for review and learning purposes. In addition, we may remove information that identifies you so that others can use the de-identified information to study health care and health care delivery without learning who you are.

OTHER USES AND DISCLOSURES OF PROTECTED HEALTH INFORMATION. We may also use your medical information in the following ways:

  • To provide appointment reminders for treatment or medical care.
  • To tell you about or recommend possible treatment alternatives or other health-related benefits and services that may be of interest to you.
  • To your family or friends or any other individual identified by you to the extent directly related to such person’s involvement in your care or the payment for your care. We may use or disclose your medical information to notify, or assist in the notification of, a family member, a personal representative, or another person responsible for your care, of your location, general condition or death. If you are available, we will give you an opportunity to object to these disclosures, and we will not make these disclosures if you object. If you are not available, we will determine whether a disclosure to your family or friends is in your best interest, taking into account the circumstances and based upon our professional judgment.
  • When permitted by law, we may coordinate our uses and disclosures of medical information with public or private entities authorized by law or by charter to assist in disaster relief efforts.
  • We will allow your family and friends to act on your behalf to pick-up filled prescriptions, medical supplies, X-rays, and similar forms of medical information, when we determine, in our professional judgment, that it is in your best interest to make such disclosures.
  • We may use or disclose your medical information for research purposes, subject to the requirements of applicable law. For example, a research project may involve comparisons of the health and recovery of all patients who received a particular medication. All research projects are subject to a special approval process which balances research needs with a patient’s need for privacy. When required, we will obtain a written authorization from you prior to using your medical information for research.
  • In certain cases, we will provide your information to contractors, agents and other parties, such as the onsite/campus medical clinic or counseling center, who may need the information in order to perform a service for us, including, without limitation, Timely Telehealth, LLC, such as obtaining payment for health care services or carrying out business operations. Another example is that we may share your information with an insurance company, law firm or risk management organization in order to maintain professional advice about how to manage risk and legal liability, including insurance or legal claims. However, you should know that in these situations, we require third parties to provide us with assurances that they will safeguard your information.
  • We will use or disclose medical information about you when required to do so by applicable law.
  • In accordance with applicable law, we may disclose your medical information to your employer if we are retained to conduct an evaluation relating to medical surveillance of your workplace or to evaluate whether you have a work-related illness or injury.

SPECIAL SITUATIONS. Subject to the requirements of applicable law, we may make the following uses and disclosures of your medical information:

  • Organ and Tissue Donation. If you are an organ donor, we may release medical information to organizations that handle organ procurement or transplantation as necessary to facilitate organ or tissue donation and transplantation.
  • Military and Veterans. If you are a member of the Armed Forces, we may release medical information about you as required by military command authorities. We may also release medical information about foreign military personnel to the appropriate foreign military authority.
  • Worker’s Compensation. We may release medical information about you for programs that provide benefits for work-related injuries or illnesses. ● Public Health Activities. We may disclose medical information about you for public health activities, including disclosures:
    • to prevent or control disease, injury or disability;
    • to report births and deaths;
    • to report child abuse or neglect;
    • to persons subject to the jurisdiction of the Food and Drug Administration (FDA) for activities related to the quality, safety, or effectiveness of FDA-regulated products or services and to report reactions to medications or problems with products;
    • to notify a person who may have been exposed to a disease or may be at risk for contracting or spreading
    • disease or condition;
    • to notify the appropriate government authority if we believe that an adult patient has been the victim of abuse, neglect or domestic
      violence. We will only make this disclosure if the patient agrees or when required or authorized by law.
  • Health Oversight Activities. We may disclose medical information to federal or state agencies that oversee our activities (e.g., providing health care, seeking payment, and civil rights).
  • Lawsuits and Disputes. If you are involved in a lawsuit or a dispute, we may disclose medical information subject to certain limitations.
  • Law Enforcement. We may release medical information if asked to do so by a law enforcement official:
    • In response to a court order, warrant, summons or similar process;
    • To identify or locate a suspect, fugitive, material witness, or missing person;
    • About the victim of a crime under certain limited circumstances; o About a death we believe may be the result of criminal conduct;
    • About criminal conduct on our premises; or
    • In emergency circumstances, to report a crime, the location of the
      crime or the victims, or the identity, description or location of the
      person who committed the crime.
  • Coroners, Medical Examiners and Funeral Directors. We may release medical information to a coroner or medical examiner. We may also release medical information about patients to funeral directors as necessary to carry out their duties.
  • National Security and Intelligence Activities. We may release medical information about you to authorized federal officials for intelligence, counterintelligence, other national security activities authorized by law or to authorized federal officials so they may provide protection to the President or foreign heads of state.
  • Inmates. If you are an inmate of a correctional institution or under the custody of a law enforcement official, we may release medical information about you to the correctional institution or law enforcement official. This release would be necessary (1) to provide you with health care; (2) to protect your health and safety or the health and safety of others; or (3) for the safety and security of the correctional institution.
  • Serious Threats. As permitted by applicable law and standards of ethical conduct, we may use and disclose medical information if we, in good faith, believe that the use or disclosure is necessary to prevent or lessen a serious and imminent threat to the health or safety of a person or the public or is necessary for law enforcement authorities to identify or apprehend an individual.

Note: HIV related information, genetic information, alcohol and/or substance abuse records, mental health records and other specially protected health information may enjoy certain special confidentiality protections under applicable state and federal law. Any disclosures of these types of records will be subject to these special protections.

OTHER USES OF YOUR HEALTH INFORMATION. Other uses and disclosures of medical information not covered by this notice or the laws that apply to us will be made only with your written authorization, which authorization may only be revoked in writing.

  1. We permit you to request restrictions on our uses and disclosures of medical information for treatment, payment and health care operations. However, we are not required to agree to your request. To request a restriction, you may make your request in writing to the Privacy Officer.
  2. We permit you to reasonably request to receive confidential communications of your medical information by alternative means or at alternative locations. To make such a request, you may submit your request in writing to the Privacy Officer.
  3. We permit you to inspect and copy the medical information contained in our provider records, subject to certain exceptions under applicable law:
    In order to inspect or obtain a copy of your medical information, you may submit your request in writing to the custodian of your Medical Records. If you request a copy, we may charge you a fee for the costs of copying and mailing your records, as well as other costs associated with your request. We may also deny a request for access to medical information under certain circumstances.
  4. We permit you to request an amendment to your medical information, subject to certain exceptions under applicable law. In any event, any agreed upon amendment will be included as an addition to, and not a replacement of, already existing records. In order to request an amendment to your medical information, you must submit your request in writing to the custodian of your Medical Records, along with a description of the reason for your request.
  5. We permit you to request an accounting of disclosures of medical information made by us to individuals or entities other than to you for the six years prior to your request, except for disclosures:

(i) to carry out treatment, payment and health care operations as provided above;
(ii) incidental to a use or disclosure otherwise permitted or required by applicable law;
(iii) pursuant to your written authorization;
(iv) to persons involved in your care or for other notification purposes as provided by law;
(v) for national security or intelligence purposes as provided by law;
(vi) to correctional institutions or law enforcement officials as provided by law; (vii) as part of a limited data set as provided by law.

To request an accounting of disclosures of your medical information, you must submit your request in writing to the Privacy Officer. Your request must state a specific time period for the accounting (e.g., the past three months). The first accounting you request within a twelve (12) month period will be free. For additional accountings, we may charge you for the costs of providing the list. We will notify you of the costs involved, and you may choose to withdraw or modify your request at that time before any costs are incurred.

6. We will notify you in the event that there is a breach of your medical information, which requires notification under applicable laws.

CHANGES TO THIS NOTICE. We reserve the right to change this notice. We reserve the right to make the revised or changed notice effective for medical information we already have about you as well as any information we receive in the future. NOTICE OF PRIVACY PRACTICES

This notice describes how medical information about you may be used and disclosed and how you can access this information. Please review it carefully.

INTRODUCTION. The Timely Telehealth Affiliated Professional Entities that are medical groups providing clinical services and work together to support your care and carry out joint activities, such as care coordination, quality improvement and processing your information for purposes like treatment, payment and healthcare operations. The Timely Telehealth Affiliated Professional Entities include: Telehealth Physician Network, a Texas PLLC; Dennington Physician, PLLC, a New York PLLC; Telehealth Physician Network, PLLC, a Michigan PLLC; Telehealth Physician Network, PLLC, a North Dakota PLLC; Telehealth Physician Network, P.C., a California professional corporation; Telehealth Physician Network, P.C., an Alaska professional corporation; and Telehealth Physician Network, P.C., a New Jersey professional corporation.

TimelyTelehealth, LLC and its Affiliated Professional Entities, collectively referred to herein as “TimelyCare”, “we”, “us”, or “our” are dedicated to maintaining the privacy of your Protected Health Information (“PHI”). To the extent any information we collect or use from you is PHI, this Notice of Privacy Practices (“Notice”) applies to you in the specific circumstances explained below. In this Notice, we describe what information we may collect, how such information may be used or shared, and what your rights are with respect to such information. All terms not defined herein are as defined under the Health Insurance Portability and Accountability Act of 1996 and its implementing regulations (“HIPAA”).

We are required to (i) maintain the privacy of your medical information as required by law; (ii) provide you with this Notice stating our legal duties and privacy practices with respect to your medical information; (iii) abide by the terms of this Notice; and (iv) notify you following a breach of your medical information that is not secured in accordance with certain security standards.

INFORMATION WE COLLECT ABOUT YOU
To provide you with the TimelyCare services, we may collect PHI about you from a few sources, including directly from you. PHI is information about you that may be used to identify you (such as your name), and that relates to:

  • Your past, present or future physical or mental health or condition
  • The provision of healthcare to you, or
  • Your past, present, or future payment for the provision of healthcare.

Any information about you (including PHI) that has been de-identified in accordance with standards established under HIPAA (“De-Identified Data”) is not considered PHI. De-Identified Data is not subject to this Notice and we may use and disclose De-Identified Data for any lawful purpose.

HOW WE MAY USE AND DISCLOSE PHI. We use and disclose the minimum necessary PHI to accomplish the intended purpose of the use and disclosure. Except for the purposes set out here and in the “Special Situations” section, below, we will use and disclose PHI only with your written authorization. These are the ways we may use and disclose your PHI:

  • Treatment, Payments, and Health Care Operations. We may use or disclose your PHI for purposes of treatment, payment and health care operations. Examples of such uses are:
    • Treatment Activities. We may use and disclose your PHI to treat you and provide you with behavioral or medical care, and treatment-related services, including the provision, coordination or management of your mental health care. This may include, for example, disclosure of your PHI to facilitate the provision of telehealth visits, consultations between health care providers relating to your care including school health care providers, directors or medical professions who are authorized to access your information, and referrals for health care from one health care provider to another.
    • Payment Activities. We may use and disclose your PHI to obtain payment for services. For example, we may provide your PHI to companies who assist us in obtaining payment for our services. Federal or state law may require us to obtain a written release from you prior to disclosing certain specially protected medical information for payment purposes, and we will ask for your authorization when necessary under applicable law.
  • Health Care Operations Purposes. We may use and disclose your PHI to operate our business, improve how services are provisioned, and provide customer service, including for quality assessment activities, employee review activities, communications with and/or about you, training, licensing, and to monitor qualifications of providers and other healthcare activities. We may also share your PHI in connection with certain professional services. For example, we may share your PHI with an insurance company, law firm or risk management organization in order to maintain professional advice about how to manage risk and legal liability, including insurance or legal claims. However, you should know that in these situations, we require such third parties to provide us with contractual assurances that they will safeguard your information.
  • Business Associates. We also may need to disclose your PHI to certain of our “business associates” or other third parties that perform services for us if the information is necessary for these services. For example, we may use another company for our billing services. In certain cases, we will provide your PHI to contractors, agents and other parties, such as the onsite/campus medical clinic or counseling center, who may need the information in order to perform a service for us, including, without limitation, Timely Telehealth, LLC, such as obtaining payment for health care services or carrying out business operations. All of our business associates are required to protect the privacy of your PHI and are not allowed to use or disclose any such information except as stated in our contractual agreement with such business associates.
  • Electronic Health Information Exchanges. We may also use PHI to participate in electronic health information exchanges (“HIEs”) so that we can share, request, and receive electronic health information from other health care organizations for treatment, payment, and healthcare operations purposes as described above, as well as engage third parties to assist TimelyCare with our payment and healthcare operations in coordination with Affiliated Professional Entities. If required by applicable law, we will request your consent prior to disclosing your information to an HIE and/or inform you of your rights to opt-out or withdraw from participation in an HIE.
  • Schedule and Provide Appointment Reminders. To schedule or provide appointment reminders for treatment or medical care.
  • Treatment Alternatives and Health-Related Benefits and Services. To tell you about or recommend possible treatment alternatives or other health-related benefits and services that may be of interest to you. Applicable law may require us to seek your authorization before such communications, and we will ask for your authorization when necessary under applicable law.
  • Uses and Disclosures Required by Law. We will use or disclose your PHI when required to do so by applicable law.

SPECIAL SITUATIONS. Subject to the requirements of applicable law, there are limited times when we may make the following uses and disclosures of your PHI without authorization, including in for the following:

  • To family members or friends who are involved in your medical care or to someone who helps pay for your care. We may also use or disclose your medical information to notify (or assist in notifying) a family member, legally authorized representative or other person responsible for your care of your location, general condition or death. If you are a minor, we may release your medical information to your parents or legal guardians when we are permitted or required to do so under federal and applicable state law.
  • For public health activities such as reporting certain diseases and disaster relief efforts
  • To protect victims of abuse or neglect, such as child abuse and elder neglect
  • For judicial and administrative proceedings such as responding to subpoenas
  • For workers compensation claims
  • To prevent or lessen a serious and imminent threat of harm to a person or the public
  • For state and federal health oversight activities such as healthcare provider licensing and disciplinary action
  • To coroners, medical examiners, and funeral directors in limited circumstances
  • For organ donation and transplantation
  • For research purposes
  • For specialized government functions such as national security
  • To law enforcement, including in the following circumstances: in response to a court order, warrant, summons or similar process; to identify or locate a suspect, fugitive, material witness, or missing person; to provide information about the victim of a crime under certain limited circumstances; to provide information about a death we believe may be the result of criminal conduct; about criminal conduct on our premises; or in emergency circumstances, to report a crime, the location of the crime or the victims, or the identity, description or location of the person who committed the crime
  • As permitted by applicable law and standards of ethical conduct, we may use and disclose medical information if we, in good faith, believe that the use or disclosure is necessary to prevent or lessen a serious and imminent threat to the health or safety of a person or the public or is necessary for law enforcement authorities to identify or apprehend an individual.
  • If you are or become an inmate of a correctional institution or are in the custody of a law enforcement official, we may disclose to the institution or law enforcement official information necessary for the provision of health services to you, your health and safety, the health and safety of other individuals and law enforcement on the premises of the institution and the administration and maintenance of the safety, security and good order of the institution.
  • If you are a member of the armed forces, we may release your medical information as required by military command authorities or to the Department of Veterans Affairs. We may also disclose your medical information to authorized federal officials for intelligence and national security purposes to the extent authorized by law.

Note: Under federal and/or state laws, certain information about you may be subject to special protections and in some instances disclosure may be subject to a healthcare provider’s professional judgment (e.g., to protect the safety and wellbeing of you or a third party). Any disclosures of these types of records will be subject to these special protections or restriction.

USES AND DISCLOSURES THAT REQUIRE YOUR AUTHORIZATION. We must obtain your written authorization in situations that are not covered by the above. We also must obtain your written authorization for purposes of marketing, selling your PHI, or certain instances involving psychotherapy notes. We will not use or disclose any of your PHI that contains genetic information that will be used for underwriting purposes. You may take back your authorization in writing at any time. Following receipt of such written notification, we will stop using or disclosing your PHI for such authorized purpose(s), except to the extent we have already taken an action that relies on the use indicated in your authorization.

YOUR RIGHTS. You have the following rights regarding PHI we have about you:

  1. Right to Request Restrictions. You have the right to request restrictions on our uses and disclosures of PHI for treatment, payment and health care operations. Please note that, except as required by law, we are not required to agree to your request. To request a restriction, you may make your request in writing to the Privacy Officer.
  2. Right to Request Confidential Communication. You have the right to make reasonable requests to receive confidential communications of your medical
    information by alternative means or at alternative locations. To make such a request, you may submit your request in writing to the Privacy Officer.
  3. Right to Inspect and Copy. You have the right to inspect and copy your PHI maintained in a designated record set. In order to inspect or obtain a copy of your medical information, you must submit your request in writing to us.. If you request a copy of your PHI or agree to a summary or explanation of such information, we may charge you a reasonable, cost-based fee as permitted by law. We may also deny a request for access to medical information under certain circumstances.
  4. Right to Amend PHI. If you believe that your PHI maintained by us is incorrect or incomplete, you have the right to request that we correct or amend such information, subject to certain exceptions under applicable law.
